By accessing or using DaVinci Tech Solutions' services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.
These Terms apply to all visitors, users, and others who access or use our services, including but not limited to our website, mobile applications, API, and any related services.
2. Our Services
We provide comprehensive IT solutions including but not limited to:
IT Support & Helpdesk, Security Camera Systems, Network Infrastructure, Custom Software Development, Cloud & DevOps, Data & Analytics, VoIP Phone Systems, CRM Solutions, and other technology services as agreed upon in individual service contracts.
Services are provided on a project basis or through ongoing support agreements as specified in individual service contracts or statements of work.
3. User Obligations
You agree to:
- Provide accurate and complete information when engaging our services
- Cooperate with our team to facilitate service delivery
- Comply with all applicable laws and regulations
- Respect intellectual property rights
- Not use our services for any unlawful or prohibited activities
- Maintain the security of any access credentials provided
4. Payment Terms
Payment Schedule
- Project-based work: 50% upfront, 50% upon completion
- Monthly retainers: Due on the 1st of each month
- Hourly services: Net 15 payment terms
All payments are due within the timeframe specified in your service agreement. Late payments may incur a 1.5% monthly service charge. We reserve the right to suspend services for accounts that are 30 days past due.
Accepted payment methods include bank transfers, credit cards, and approved digital payment platforms.
5. Intellectual Property
Your Content
You retain ownership of all content, data, and materials you provide to us. You grant us a license to use this content solely for providing our services.
Our Work Product
Upon full payment, you receive ownership of custom-developed solutions. We retain rights to our methodologies, tools, and pre-existing intellectual property.
6. Confidentiality
We understand the sensitive nature of business information. DaVinci Tech Solutions commits to:
- Maintain strict confidentiality of all client information
- Use information solely for service delivery purposes
- Implement appropriate security measures to protect data
- Not disclose information to third parties without written consent
- Return or destroy confidential information upon request
7. Limitation of Liability
Important Legal Notice
Our liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.
While we strive for excellence, technology services involve inherent risks. We provide services "as is" and recommend maintaining appropriate backups and insurance coverage.
8. Termination
Either party may terminate the service agreement with 30 days written notice. Immediate termination may occur in cases of:
- Material breach of terms
- Non-payment after 30 days past due
- Illegal activities
- Violation of confidentiality obligations
Upon termination, you remain responsible for payment of services rendered and we will provide reasonable assistance in transitioning services.
9. Governing Law
These Terms are governed by the laws of the State of New York, United States. Any disputes will be resolved through binding arbitration in Brooklyn, NY, except for intellectual property disputes which may be resolved in federal court.
We encourage resolving disputes through direct communication before pursuing formal legal action.
