Terms of Service

For DaVinci Tech Solutions — covering our website, client portal, and products (DaVinci PBX, D Line, and DaVinci AI Agent).

Effective date: May 1, 2026

1. Acceptance of Terms

By accessing our website, using the client portal, downloading our applications, or otherwise using any service provided by Davinci Tech Solutions ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our website, portal, or products.

2. Scope

These Terms apply to:

Sections 14–17 contain product-specific terms that supplement (but do not replace) the general terms in sections 1–13.

3. Description of Services

Davinci Tech Solutions provides managed IT services, networking, security, software development, and cloud-based products. Specific service descriptions are available on our website and in the relevant service or product agreement.

4. Account & Eligibility

  • You must be at least 18 years old, or the legal age of majority in your jurisdiction
  • Accounts for our products are typically provisioned by your organization
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account
  • Notify us immediately of any unauthorized access

5. Acceptable Use

You agree NOT to:

  • Use our services for spam calling, robocalling, or unsolicited bulk messaging
  • Use our services for any illegal purpose, fraud, harassment, or to infringe others' rights
  • Attempt to interfere with, disrupt, overload, or probe the security of our systems
  • Reverse engineer, decompile, or disassemble our applications
  • Share account credentials with unauthorized users or resell our services without written permission
  • Record calls without the consent of all parties where required by law
  • Upload malware, viruses, or other harmful content

6. Intellectual Property

All websites, portals, applications, designs, code, branding, documentation, and content are owned by Davinci Tech Solutions or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use them in accordance with these Terms and your service agreement.

You retain ownership of data and content you provide to us. You grant us the limited rights necessary to process that data on your behalf to deliver the services.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The services may be affected by internet connectivity, scheduled or emergency maintenance, third-party providers (telephony carriers, cloud infrastructure, AI providers), or other factors beyond our reasonable control.

8. Fees & Billing

Service and product fees are set out in your organization's agreement or order form with Davinci Tech Solutions. Fees are billed in advance unless otherwise agreed. Late payments may incur interest at the maximum rate permitted by law. Individual end users should contact their organization administrator for billing details.

9. Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or as required by law. Your organization administrator may revoke your access at any time. Upon termination, your right to use the website, portal, and products ceases immediately. Provisions that by their nature should survive termination (IP, liability, indemnification, governing law) will survive.

10. Disclaimer of Warranties

THE WEBSITE, PORTAL, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAVINCI TECH SOLUTIONS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU OR YOUR ORGANIZATION FOR THE APPLICABLE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Davinci Tech Solutions, its affiliates, and personnel from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the services or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in New York County, New York.

14. VoIP Services & Emergency Calling (911)

IMPORTANT — EMERGENCY SERVICES NOTICE: Our VoIP services (DaVinci PBX and D Line) are not a replacement for traditional telephone service. They depend on internet connectivity, electrical power, and our service availability. Access to emergency services such as 911 or 112 may be limited, delayed, or unavailable. Users must maintain alternative means of accessing emergency services at all times (such as a working mobile phone or landline). We are not liable for any failure to reach emergency services through our VoIP products.

15. DaVinci PBX Terms

DaVinci PBX is provided to customer organizations under a service agreement. The customer organization is responsible for:

  • Configuring extensions, IVRs, queues, and routing in compliance with applicable laws
  • Obtaining all necessary consents before enabling call recording, where required by law
  • Ensuring end users are aware of the 911 limitations described in Section 14
  • Authorized use of phone numbers and porting requests

16. D Line App Terms

D Line is the mobile and desktop softphone for DaVinci PBX. By installing and using D Line, you additionally agree:

  • Not to use D Line for spam, robocalls, or unsolicited bulk SMS
  • To comply with applicable telecommunications laws (including TCPA in the United States)
  • That you understand the 911 emergency services limitations described in Section 14
  • That call quality depends on your internet connection and is not guaranteed
  • To the App Store and Google Play store terms in addition to these Terms

17. DaVinci AI Agent Terms

By using DaVinci AI Agent, you additionally agree:

  • AI-generated responses may contain inaccuracies; you are responsible for reviewing outputs before relying on them for material decisions
  • Not to use the AI Agent to generate harmful, discriminatory, or illegal content
  • That conversations may be processed by third-party AI providers (OpenAI, Anthropic, Google) under their respective terms
  • To obtain any consents required by law before deploying voice or chat AI to interact with end users
  • Customer-provided knowledge-base content remains owned by the customer and is used only to deliver the service

18. Changes to Terms

We reserve the right to modify these Terms. Material changes will be communicated via email, the website, or in-app notification. Continued use of the website, portal, or products after changes take effect constitutes acceptance of the updated Terms.
